Commercial Parking Lot Resurfacing: Mill and Overlay vs Full Reconstruction

Mill and overlay or full reconstruction? This decision determines whether you spend $2 per square foot or $6 per square foot. Here is how to make the right call for your Virginia commercial lot.

The Core Question

When a commercial parking lot reaches the end of its serviceable life — widespread cracking, failing surfaces, ADA non-compliance, or drainage issues — property managers face a choice: mill and overlay the existing surface, or remove everything and start fresh.

The right answer depends on the condition of the base beneath the asphalt. Everything else is secondary.

Option 1: Mill and Overlay

What it involves:

  1. Mill (grind) the existing asphalt surface to a depth of 1.5 to 3 inches using a milling machine
  2. Haul away the milled material (it is recycled into new asphalt)
  3. Apply tack coat to the milled surface
  4. Place new hot-mix asphalt surface course
  5. Compact and finish

Cost in Virginia (2026): $1.50 to $3.50 per square foot depending on milling depth, lot size, and material prices. A 20,000 sq ft lot: roughly $30,000 to $70,000.

When it works:

  • The existing base (the aggregate layer beneath the asphalt) is still structurally sound
  • Alligator cracking is limited to less than 20 to 25% of the surface area
  • There is no widespread base failure — no large soft areas, no significant rutting in load-bearing areas
  • The existing grades and drainage generally work
  • The lot is within ADA compliance for grades and accessible space locations (or minor corrections can be made)

What it does not fix:

  • Failed base areas (those must be cut out and repaired before overlaying)
  • Drainage problems — a mill and overlay replicates the same grades, so if the lot holds water now, it will after the overlay too unless grades are adjusted
  • Utility problems or underground drainage issues

Option 2: Full Reconstruction

What it involves:

  1. Remove all existing asphalt (full depth)
  2. Excavate existing base material where failed
  3. Import and compact new aggregate base to specified depth
  4. Grade for proper drainage
  5. Install new asphalt surface course(s)

Cost in Virginia (2026): $4.00 to $8.00 per square foot. A 20,000 sq ft lot: $80,000 to $160,000.

When it is necessary:

  • Widespread base failure (soft, rutted, or saturated base material throughout the lot)
  • Significant drainage grade changes needed that cannot be achieved with overlay
  • Utility installation or major underground infrastructure work
  • Structural loads that require a thicker, fully engineered pavement section (heavy trucks, bus routes)
  • Total alligator cracking and base distress exceeding 30 to 40% of the lot area

The Decision Framework

Start with the base. If you are unsure of the base condition, core samples — small cores drilled through the existing pavement — reveal what is below without expensive excavation. Most qualified contractors can do a coring assessment before proposing either option.

Apply the 30% rule. If more than 25 to 30% of the lot requires full-depth base repair, the cost of spot repairs within a mill and overlay approaches the cost of full reconstruction. Do the math before committing.

Factor in drainage. If the lot's drainage problems require grade changes that exceed what overlay can accommodate, reconstruction is necessary. Do not pay for an overlay that leaves a poor-draining lot.
